1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Draft Automation, Inc. ("Company," "we," "us," or "our") governing your access to and use of the RecruitPulse platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

To use the Service, you must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself and any entity you represent. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Payment

The Service is offered on a subscription basis. You agree to pay all fees associated with your subscription plan. All payments are non-refundable except as expressly provided in these Terms or as required by applicable law.

We may change our subscription fees at any time, but any price changes will apply to billing cycles after the current cycle. We will provide you with reasonable notice of any price changes.

5. User Content

The Service allows you to upload, store, and share content, including text, files, images, and other materials ("User Content"). You retain all rights in your User Content, and you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent and warrant that you have all necessary rights to submit such User Content and that it does not violate any third-party rights, laws, or regulations.

6. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws or regulations
• Violate or infringe upon the rights of others, including privacy and intellectual property rights
• Engage in any activity that interferes with or disrupts the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service to transmit any viruses, malware, or other harmful code
• Collect or harvest user data without permission
• Impersonate any person or entity or misrepresent your affiliation

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by the Company and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Termination

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease, but all provisions of these Terms that by their nature should survive termination shall survive.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of the Service, your User Content, or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be subject to the rulings of the Delaware Court of Chancery and Delaware Supreme Court.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
